This End User License Agreement ("Agreement") is a legal agreement between you ("You," the "Licensee") and Jordan Draper ("the Foundry") for the use of the Flora Grotesk font software and any accompanying files, updates, and documentation (collectively, the "Font Software"). By downloading, installing, or using the Font Software, You agree to be bound by the terms of this Agreement. If You do not agree, do not download, install, or use the Font Software.

1. Ownership

The Font Software is the intellectual property of the Foundry and is protected by copyright and other intellectual property laws. The Foundry retains all rights, title, and interest in and to the Font Software. You are licensed to use the Font Software; You do not own it. This Agreement does not transfer any ownership rights.

2. Grant of License

Subject to Your payment of the applicable fee and compliance with this Agreement, the Foundry grants You a non-exclusive, non-transferable license to use the Font Software according to the license type You purchased:

  • Desktop License. Install and use the Font Software on the number of computers ("Workstations") covered by your purchase, to create static images and documents (print, artwork, logos, PDFs, etc.). Unless otherwise stated, one Desktop License covers up to five (5) Workstations at a single organization.

  • Webfont License. Use the provided WOFF/WOFF2 web font files on websites You own or operate, via CSS @font-face, up to the pageview or domain limit specified at purchase. The web font files must be hosted on Your own server or a licensed service and must not be made available for download or use by third parties.

  • App / Digital-Embedding License. Embedding the Font Software within a mobile or desktop application, e-book, or other digital product requires a separate license. Contact the Foundry.

If no specific tier is stated at purchase, a standard Desktop License is granted.

3. Permitted Uses

You may:

  • Use the Font Software to design and produce Your own work, including commercial work and client work.

  • Embed the Font Software in documents (e.g., PDFs) in a manner that permits viewing and printing only, not editing or extraction.

  • Create outlines/vectors of the letterforms as part of a finished design (e.g., a logo).

4. Restrictions

You may not:

  • Copy, distribute, sublicense, resell, rent, lease, lend, or give away the Font Software or make it available on any server or network for use or download by anyone outside Your licensed users.

  • Modify, adapt, translate, reverse-engineer, decompile, or create derivative fonts from the Font Software without the Foundry's prior written permission.

  • Rename the Font Software or remove or alter any copyright, trademark, or attribution notices.

  • Use the Font Software to create a competing font product or a font-generation/AI training dataset.

  • Exceed the number of Workstations, users, pageviews, or domains covered by Your license.

  • Transfer the Font Software to a third party except as part of a permanent transfer of all Your rights under this Agreement, in which case You must destroy Your copies and the recipient must agree to this Agreement.

5. Trademark

"Flora Grotesk" is a trademark of the Foundry. You may credit the typeface by name but may not use the name to imply endorsement or to name a derivative product.

6. Upgrades and Updates

Any updates or new versions provided to You are governed by this Agreement unless accompanied by a separate license.

7. Term and Termination

This Agreement is effective until terminated. It terminates automatically without notice if You breach any term. Upon termination, You must stop using and destroy all copies of the Font Software. Sections 1, 4, 5, 8, 9, and 10 survive termination.

8. Warranty Disclaimer

THE FONT SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Foundry does not warrant that the Font Software will meet Your requirements or operate without error.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FOUNDRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE FONT SOFTWARE. THE FOUNDRY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.

10. General

This Agreement is governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles. If any provision is held unenforceable, the remaining provisions remain in effect. This Agreement is the entire agreement between You and the Foundry regarding the Font Software.
